SEFAS Group Officially Takes Over 100% of Shell's Gas Station Business in Indonesia, Brand Stays in Use

PT Shell Indonesia officially completed the transfer of its retail fuel station (SPBU) business to SEFAS Group on Friday (30/10/2026). Around 200 stations are now operated by PT Isla Energy Indonesia, but Shell's yellow scallop logo remains in place thanks to a brand licensing agreement.

JAKARTA — Shell's retail fuel station (SPBU) business in Indonesia has officially changed hands. PT Shell Indonesia announced it had completed the transfer of ownership of its entire SPBU business in Indonesia to SEFAS Group on Friday, 30 October 2026, through a written statement from company management.

With the transaction completed, operations at around 200 Shell SPBU outlets — more than 160 of them company-owned — are now under PT Isla Energy Indonesia, a company owned by SEFAS Group.

"Shell has completed the transfer of ownership of its retail fuel station (SPBU) business in Indonesia to SEFAS Group," Shell's management wrote in its statement, Friday (30/10/2026).

The scope of the transaction covers the entire SPBU business, related fuel supply and distribution activities, and the fuel terminal (TBBM) located in Gresik, East Java. The transferred stations are spread across Jabodetabek, Banten, West Java, and East Java.

## Shell Brand Lives On Through Licensing

Despite the change of ownership, customers will notice no visual changes on the ground. Under the brand licensing agreement reached by both parties, the Shell name and logo remain in use across the entire SPBU network now operated by PT Isla Energy Indonesia.

"Under the brand licensing agreement, the Shell brand will continue to be used across the entire SPBU network of PT Isla Energy Indonesia, and consumers will continue to have access to Shell's high-quality fuel products," Shell wrote in its statement.

The arrangement makes SEFAS Group the new owner of the fuel retail business, while Shell stays involved through the brand and its fuel products. For loyal Shell station customers, the transfer will practically not change the experience at the pump.

## Lubricants Business Not Included

The ownership transfer expressly excludes Shell's lubricants business in Indonesia. The company is instead continuing to expand that line of business with domestic production facilities.

In September 2026, Shell Indonesia began operating a Grease Manufacturing Plant with a production capacity of up to 12 kilotons per year. The company also has a lubricants facility in Marunda with a capacity of 300 million litres per year.

## From a Long Partnership to Full Ownership

SEFAS Group is no stranger to Shell. The company, which began as PT Sefas Pelindotama, was established in 1997 as an official distributor of Shell Indonesia lubricants, and over nearly three decades has grown into Indonesia's largest distributor of Shell lubricants.

Shell Indonesia President Director Andri Pratiwa described SEFAS as a long-standing partner of the company with a strong understanding of the domestic market. SEFAS Group CEO Ricky Roesli, meanwhile, described the acquisition of Shell's retail business as the next step in the two companies' partnership.

"SEFAS is proud to take the next business step, and to support the future growth of Indonesia's energy retail sector," Roesli said.

## A 17-Month Transaction Journey

The transfer of Shell's SPBU business in Indonesia was a long time in the making. The initial plan was announced on 23 May 2025, with the prospective buyer a joint venture formed by Citadel Pacific Limited and SEFAS Group.

In August 2026, the transaction structure changed: SEFAS Group agreed to acquire 100 percent of the SPBU business, with completion subject to regulatory approval and the fulfilment of other transaction conditions. So far there has been no detailed public explanation of the change in Citadel Pacific Limited's position from the original structure.

Shell itself entered Indonesia's retail fuel business in 2005, making this transfer the end of two decades of the British energy company's direct presence in Indonesia's retail fuel sector.

## Indonesia's Fuel Retail Market in Context

For all the scale of the transferred business, the market share of private SPBUs including Shell remains small — around 2.5 percent of the more than 8,000 fuel stations nationwide dominated by the Pertamina network.

At the same time, the domestic cement and energy industries are under pressure. Private fuel retail has become one arena of consolidation, with local players growing more confident in taking over assets from multinationals reshaping their global portfolios.

For SEFAS, the transfer is a leap from distributor to owner of an energy retail network. For consumers, Shell management's guarantee is that the quality of the brand and its fuel products will not change under the new operator.
